Affiliate program terms

These terms govern your participation in the Cetona affiliate program. By applying and accepting your affiliate link, you acknowledge that you have read, understood and agreed to these terms. Cetona reserves the right to modify these terms at any time, with 30-day prior notice by email to active affiliates.

1. Definitions

"Cetona": the cetona.app platform, operated by Jerome Gagne, founder, as an individual. "Affiliate": any individual or legal entity accepted into the affiliate program. "Referral": any user who has subscribed to a paid Cetona plan via the Affiliate's unique tracking link, within the 60-day window following the click. "Commission": compensation paid to the Affiliate for each converted Referral, calculated as a percentage of the amount paid by the Referral to Cetona, excluding taxes, excluding refunds. "Tracking link": unique URL generated by Rewardful containing an affiliate identifier, used to attribute conversions.

2. Eligibility

To be accepted as an Affiliate, you must: • Be at least 18 years old (or have legal guardian approval) • Have a legitimate promotion channel (social account, blog, newsletter, community) with original, public content • Accept these terms and the code of conduct below • Provide accurate information in your application (handle, audience, niche) Cetona reserves the right to accept or reject any application at its sole discretion, without having to justify the decision. Approval typically takes 48 business hours.

3. Commissions

Standard rate: 30% lifetime recurring commission on any subscription (monthly or yearly) subscribed by an attributed Referral. Early adopter rate: 40% lifetime recurring commission for the first 50 activated Affiliates (first payment received). This bonus rate is guaranteed for life, non-revisable even if Cetona modifies its standard rate later. The commission applies: • To each payment effectively collected by Cetona from the Referral • As long as the Referral remains a customer (active subscription) • On net amounts received by Cetona (excluding taxes, excluding Stripe fees, excluding refunds) The commission is not due in the following cases: • Refund of the Referral within the 7-day guarantee window • Chargeback or detected fraud • Purchase by the Affiliate themselves (self-referral prohibited) • Purchase without prior click on the tracking link within the 60-day cookie window • Suspension or termination of the Affiliate account for breach of these terms

4. Attribution and cookie window

Conversion attribution to an Affiliate is done via a 60-day cookie. When a visitor clicks the Affiliate's tracking link, a cookie is set in their browser. If this visitor subscribes to a paid plan within the next 60 days, the conversion is attributed to the Affiliate, even from another device as long as the Cetona session is logged into the same user account. In the event of successive clicks on multiple different affiliate links, "last click" prevails: the Affiliate whose link was clicked last (before conversion, within the 60-day window) receives the commission. Cetona uses Rewardful as tracking system. Any discrepancies between clicks observed by the Affiliate and those counted by Rewardful are normal (cookie blockers, private mode, Safari/Firefox browsers that limit third-party cookies). Cetona cannot be held responsible for these discrepancies.

5. Payment terms

Frequency: automatic monthly payment, on the 1st business day of each month, for commissions validated in the previous month. Minimum threshold: USD 25 (or local equivalent). Below the threshold, the balance rolls over to the next month. Validation delay: 30 days after the Referral's initial payment, to cover the 7-day refund window and allow detection of potential chargebacks. Payment method: Stripe Connect Express. The Affiliate must create a Stripe Connect account via the link provided in their onboarding. Cetona does not process PayPal payments, manual bank transfers, or cryptocurrencies. Currency: USD by default. Commissions generated in other currencies are converted to USD at the conversion date rate (Stripe rate). Tax: the Affiliate is solely responsible for declaring and paying taxes, social contributions and charges applicable to their commissions according to their jurisdiction. Cetona provides no tax advice and performs no withholding (except specific legal obligation).

6. Code of conduct — promotion rules

Authorized promotion: • Sincere and honest mention of Cetona on your channels (social, blog, newsletter, video, podcast) • Use of visuals and copy provided in the creator kit, or creation of your own content respecting the brand • Mention of your affiliate status clearly and in compliance with local regulation (#partnership, #ad, #affiliate depending on your country — see section 9) • Honest answers to your audience's questions (you are not a Cetona support service, direct them to contact@cetona.app) Prohibited promotion: • Spam (unsolicited comments, mass DMs out of context, posts in groups without added value) • Identity theft (presenting yourself as a Cetona employee, creating a fake "Cetona official" account) • Promotion on prohibited content: pornography, gambling, hate, dangerous medical misinformation, content for minors • Buying paid traffic using the "Cetona" brand or variants (cetona, cetona app, etc.) on Google Ads, Facebook Ads, Bing Ads — reserved for the official program • Buying brand keywords on any search engine • Cookie stuffing, forced iframe, or any cookie injection technique without conscious user click • Self-referral: using your own link to subscribe or create fake accounts • Abusive unverified medical promises ("lose 10 kg in 1 month guaranteed", "cures diabetes", etc.) • Fake testimonials or copying other affiliates' content without permission

7. Suspension and termination

Cetona may suspend or terminate an Affiliate's account at any time in case of violation of these terms, without notice, and withhold unpaid commissions corresponding to the violation period. The Affiliate may leave the program at any time by sending an email to contact@cetona.app. Validated commissions (beyond the 30-day window) remain due and will continue to be paid as long as Referrals remain customers, subject to the USD 25 minimum threshold. In the event of definitive program closure by Cetona (which will not happen before 12 months without notice), a 60-day notice will be given by email to active Affiliates, and commissions generated until the closure date will be paid normally.

8. Intellectual property

Cetona grants the Affiliate a non-exclusive, non-transferable and revocable license to use the "Cetona" brand, logo, application screenshots, creator kit visuals, and marketing copy provided, exclusively for affiliate program promotion purposes. The Affiliate may not: • Modify the Cetona logo (colors, proportions, distortions) • Use the "Cetona" brand in their own domain name, company name, main social handle or application name • Register the "Cetona" brand or similar sign • Sell, sublicense or transfer creator kit elements to a third party Original content created by the Affiliate (videos, articles, posts) remains their property. Cetona reserves the right to share this content on its own channels with author credit, unless expressly opposed by the Affiliate.

9. Mandatory disclosure (FTC, ARPP, ASA, GDPR)

In accordance with applicable regulations, the Affiliate agrees to clearly and visibly disclose their affiliate status in any promotional communication. This disclosure must appear BEFORE the affiliate link (not at the end of the description nor hidden in a footer). Recommended mentions by jurisdiction: • United States (FTC 16 CFR Part 255): "As a Cetona affiliate, I earn a commission on qualifying purchases." or visible "#ad #affiliate". • European Union (DSA + local directives): "Affiliate link" or "In partnership with Cetona" or "#partnership #ad" visible from the first message. • France (ARPP, DGCCRF): "Collaboration commerciale" or "Publicité" mandatory for Instagram/TikTok/YouTube. • United Kingdom (CMA / ASA): "#ad" mandatory in the first third of the post. • Brazil (CONAR): "#publi" or "#publicidade" mandatory. • Canada (Competition Bureau): clear disclosure of the commercial relationship. The Affiliate is solely responsible for their legal compliance. Cetona provides no warranty on the relevance of mentions provided for the Affiliate's jurisdiction and recommends local legal verification.

10. Personal data and GDPR

Cetona processes the Affiliate's personal data (name, email, social handle, banking data via Stripe, performance data) exclusively for affiliate program management purposes, in accordance with its Privacy Policy (cetona.app/en/privacy). Legal basis: performance of the affiliate contract (Art. 6.1.b GDPR). Retention period: 5 years after the end of the contractual relationship, to meet accounting and tax obligations. The Affiliate has rights of access, rectification, erasure, portability, opposition and limitation provided by GDPR. To exercise these rights: contact@cetona.app. Cookie tracking: the cookie placed in the visitor's browser via the tracking link contains a pseudonymous identifier (ref code) and the click date. No personally identifiable data is stored. Cetona considers this cookie as necessary for performance of the affiliate contract and tracking of a user-requested transaction (purchase). However, in jurisdictions where explicit consent remains required (e.g., CNIL in France), Cetona will display an appropriate consent banner.

11. Limitation of liability

Cetona makes no guarantee of any income level to the Affiliate. Performance depends on the Affiliate's work, the quality of their audience and market factors. Any income projection communicated by Cetona (/affiliates page, Rewardful dashboard, marketing communications) is purely indicative and in no way binding on Cetona. Cetona cannot be held responsible for: • Temporary interruption of the Cetona service or Rewardful dashboard • Loss of commissions due to third-party technical bugs (Stripe, Rewardful, browsers) • Decisions by social platforms affecting the Affiliate's reach (account suspension, algorithm change) • Tax, legal or reputational consequences of promotion carried out by the Affiliate Cetona's maximum liability to the Affiliate, all heads of damage combined, is capped at the total amount of commissions paid to that Affiliate over the past 12 months.

12. Governing law and jurisdiction

These terms are governed by the law of Quebec (Canada), where Cetona's founder resides. Any dispute relating to the interpretation or performance of this contract will be resolved in priority by amicable negotiation between the parties. Failing agreement within 60 days, the dispute will be submitted to the competent courts of the Montreal district, Quebec, Canada. For Affiliates residing in the European Union, the mandatory provisions of consumer law of their country of residence remain applicable.
